Annex B โ€” Wadata Learn Learner Terms of Use | Tectona Group Limited

This document must be read together with the Wadata Master Terms of Use and all applicable Annexes.

READ THIS FIRST โ€” These Wadata Learn Terms supplement the Wadata Master Terms of Use. By accessing or using Wadata Learn, you agree to both documents. In the event of any conflict, this Terms prevails for Wadata Learn-specific matters. All defined terms have the same meanings as in the Master Terms.

1 Wadata Learn Platform

Wadata Learn is a digital learning and skilling platform that provides training, certification, and capacity-building programmes in areas including data collection, data, digital and AI skills, and related fields to support participation in the Wadata ecosystem and broader data, digital and green economy. Wadata Learn is a learning platform only and does not guarantee employment, income, or marketplace participation. The Wadata Learn Platform is powered by Tectona Group and is accessible at https://learn.wadata.africa/ and is a separate platform from the Wadata marketplace.

IMPORTANT โ€” NO GUARANTEE OF MARKETPLACE OUTCOMES

Completion of any training or certification on Wadata Learn may enhance your eligibility for opportunities on the Wadata marketplace but does not guarantee selection, job placement, paid work, project assignment, or any level of income.

Eligibility for participation in marketplace opportunities is subject to multiple factors, including but not limited to successful Data Champ verification, compliance with Platform requirements, individual performance, client demand, and project availability.

Nothing in Wadata Learn or these Terms shall be construed as creating any obligation on Tectona Group to provide work, assignments, or income opportunities.

2 Course Access and Enrolment

2.1 Available Programmes

Wadata Learn offers a range of programme types, including:

Basic Modules

Mandatory foundational courses covering core data collection, data and digital skills required for participation on the Platform. Completion may attract designated CLP Points.

Advanced & Specialised Courses

In-depth, sector-specific training programmes designed to build specialised competencies. Access may be subject to eligibility requirements and/or payment of applicable fees.

Certification Tracks

Structured learning pathways comprising multiple modules and assessments, culminating in a Certificate of Completion, digital badge, or other form of verification.

Mandatory Onboarding

Required training modules that must be completed by Data Champs prior to accessing or participating in marketplace opportunities.

Continuous Learning Programmes

Ongoing training, refresher courses, or update modules that may be required from time to time to maintain skills, compliance, and continued eligibility for participation in the Wadata marketplace.

2.2 Access to Courses

Access to courses on Wadata Learn may be provided on a free, subsidised, sponsored, or paid basis, depending on the nature of the programme, funding arrangements, or partnerships in place. We reserve the right to determine eligibility for access to any course, including the application of prerequisites, verification requirements, or selection criteria.

2.3 Learner Eligibility Requirements

To access and participate in Wadata Learn, you must:

  • Be at least eighteen (18) years of age, or have valid parental or guardian consent where participation by minors is expressly permitted
  • Have the legal capacity to enter into a binding agreement
  • Provide accurate, complete, and up-to-date information during registration and throughout your use of the Platform
  • Comply with these Terms and all applicable laws and regulations

2.4 Course Enrolment

To enrol in a course, you may be required to: create and maintain an active user account; provide accurate and complete information; meet specified eligibility or prerequisite requirements; complete any application, screening, or onboarding process; and pay applicable fees where required.

Enrolment is confirmed only upon acceptance by the Platform or, where applicable, upon successful payment or approval. We reserve the right to accept, decline, or revoke enrolment at its discretion.

2.5 Verification Requirements

Access to certain courses or progression pathways may require identity verification or submission of supporting information. Failure to complete verification requirements may result in restricted access or ineligibility for certain opportunities. We may suspend or revoke access where you no longer meet eligibility requirements, provide false information, fail to comply with these Terms, or continued participation poses a risk to the Platform or other Users.

2.6 Course Access Period

Access to any course or programme on Wadata Learn is granted for a specified period as determined by Tectona Group and communicated on the Platform at the time of enrolment. Upon expiry of the applicable access period, your access to the course, including materials, assessments, and related content, may be restricted, suspended, or terminated. We reserve the right to extend, shorten, or modify access periods at our sole discretion.

3 Course Fees and Payments

3.1 Fees

Access to certain courses, certification tracks, or programmes on Wadata Learn may be subject to payment of fees, as specified on the Platform at the time of enrolment. We reserve the right to determine, revise, or update course fees at any time.

3.2 Free, Sponsored, and Subsidised Programmes

Some programmes may be offered on a free, subsidised, or sponsored basis, including through partnerships, donor funding, or promotional initiatives. Participation in such programmes may be subject to additional conditions including eligibility criteria, attendance requirements, reporting obligations, and compliance with programme-specific rules.

3.3 Payment Terms

Where fees are applicable, payment must be made in full prior to accessing the course or programme, unless otherwise stated. Payments shall be made through the methods made available on the Platform. We do not guarantee uninterrupted availability of payment services and shall not be responsible for delays or failures caused by third-party payment providers.

3.4 Refund Policy

For Paid Courses, unless expressly stated otherwise, all fees paid are non-refundable. We may, at our sole discretion, provide refunds in exceptional circumstances.

Refund requests must be submitted in writing to skilling@wadata.africa. Tectona Group will process eligible refunds within 14 business days of receiving a valid, verified request.

4 Mode of Learning Delivery

Wadata Learn offers training programmes through multiple delivery formats:

Self-Paced Learning

Users who enrol independently may access digital, self-paced modules delivered through the Platform. Such modules may be completed at the User's own pace within the applicable access period.

Cohort-Based & Instructor-Led

For programmes delivered under structured cohorts, partnerships, or sponsored initiatives, training may be provided through digital or virtual learning sessions and/or in-person training, workshops, or field-based instruction.

The mode of delivery for each programme shall be determined by Tectona Group and communicated at the time of enrolment. We reserve the right to determine or modify the delivery format of any programme.

5 Certifications, Badges, and Continuous Learning Points

5.1 Certificates of Completion

Upon successful completion of an eligible course โ€” including all required assessments and assignments โ€” Learners will be issued a Certificate of Completion. Certificates confirm that the learner has satisfactorily completed the relevant training programme, are issued digitally via the Wadata Learn platform, and may be verified by third parties through the platform's verification tool.

5.2 Verification Badges

Learners who meet designated competency standards may receive a Verification Badge on their Wadata profile. Badges confirm that the learner has met a specific competency threshold and enhance the learner's profile visibility on the Wadata marketplace.

5.3 Continuous Learning Points (CLPs)

CLPs are non-monetary, non-transferable learning rewards earned by completing training activities on Wadata Learn. CLPs:

  • Cannot be redeemed for cash or transferred to another user
  • May be used within the platform to unlock content, improve tier status, or access certain opportunities
  • May expire or be adjusted by Tectona Group at any time with reasonable advance notice
  • CLPs have no monetary value outside the Wadata platform.

5.4 IMPORTANT DISCLAIMERS โ€” Credentials

PLEASE READ THIS CAREFULLY BEFORE RELYING ON ANY WADATA LEARN CREDENTIAL

  • Certificates and Badges issued on Wadata Learn are NOT formal academic qualifications, professional licenses, or regulated credentials recognised by any government body, university, professional body, or accreditation authority.
  • They do NOT substitute for formal education, professional registration, or any licensing requirement in any field or jurisdiction.
  • Completion of any training does NOT guarantee employment, marketplace placement, or any specific income on Wadata or elsewhere.

5.5 Revocation of Credentials

We may revoke any Certificate, Badge, or CLP balance where the credential was obtained through fraud, impersonation, or plagiarism; the learner violated academic integrity requirements; or the learner's Account has been terminated for a serious breach of the Master Terms. Before taking any revocation action, Tectona Group will notify the affected learner with reasons. The learner will have 14 days to submit a written response.

6 Course Updates and Modifications

From time to time, we may update, modify, replace, or discontinue any course, module, or programme offered on Wadata Learn in order to reflect changes in technology, methodologies, regulatory requirements, partner needs, or operational priorities.

Without limitation, such updates may include revisions to course content, structure, format, or delivery method; updates to materials to reflect new tools, data practices, or AI-enabled methodologies; changes to instructors, facilitators, or assessment methods; introduction of new modules; and removal, suspension, or discontinuation of existing courses or components.

Where reasonably practicable, Tectona Group may notify Users of material changes; however, it is the User's responsibility to remain informed of updates communicated through the Platform. We shall not be liable for any loss or inconvenience arising from course updates, modifications, or discontinuation.

7 Mandatory Training and Marketplace Eligibility

All prospective Data Champs must complete the mandatory onboarding modules on Wadata Learn before accessing marketplace opportunities on Wadata. Data Champs are also required to engage in continuous learning and refresher modules as Tectona Group updates its curriculum.

Failure to complete mandatory or refresher modules within any stipulated timeline may result in:

  • Restriction of access to new Projects
  • Suspension of platform privileges
  • In cases of repeated non-compliance, termination of the Data Champ's Account

We will provide reasonable advance notice of any new mandatory module requirements.

8 Academic Integrity

8.1 Learner Obligations

Learners must complete all courses, assessments, assignments, and evaluations on Wadata Learn honestly, independently, and in accordance with the standards of academic and professional integrity. All work submitted must be the User's own, unless collaboration is expressly permitted.

8.2 Prohibited Conduct

Plagiarism

Copying or presenting another person's work, responses, or ideas as your own

Cheating

Use of unauthorised materials, assistance, or methods during assessments

Impersonation

Completing coursework or assessments on behalf of another User, or allowing another person to do so on your behalf

AI Misuse

Using AI tools to generate or manipulate responses in a manner that misrepresents your knowledge, skills, or abilities

8.5 Consequences of Violation

A confirmed breach of academic integrity may result in: immediate disqualification from the relevant course; forfeiture of any Certificate, Badge, or CLPs earned; a temporary or permanent ban from Wadata Learn; and where applicable, suspension or termination of the learner's Wadata marketplace Account.

9 Learner Conduct

In addition to the acceptable use obligations in the Master Terms, learners on Wadata Learn must:

  • Engage respectfully in any community forum, discussion group, peer review, or collaborative learning feature on the Platform
  • Not disrupt the learning experience of other learners through spam, offensive content, or deliberate interference
  • Not upload or share content that is offensive, defamatory, or that infringes third-party intellectual property rights
  • Report any concerns about course content quality, technical issues, or learner misconduct to skilling@wadata.africa

10 Intellectual Property โ€” Wadata Learn

All course content on Wadata Learn โ€” including videos, slides, assessments, learning materials, study guides, brand assets, and Platform design โ€” is the exclusive property of Tectona Group or its licensors. Subject to your compliance with these Terms, you are granted a personal, non-exclusive, non-transferable, revocable license to access and engage with course content solely for your personal learning and professional development.

You must not:

Download, record, screen-capture, or distribute any course content except where expressly permitted

Share your login credentials or course access with any other person

Create derivative works from course content for any purpose

Use course content for commercial purposes without Tectona Group's prior written consent

11 Use of Learner Performance Data

By using Wadata Learn, you consent to:

  • Recording and processing your learning activity, module progress, assessment scores, completion records, and platform engagement data
  • Using that data to personalise your learning experience, recommend learning pathways, and assess your readiness for marketplace opportunities
  • Sharing your training completion status and verification data with the Wadata marketplace to update your Data Champ profile and eligibility status
  • Using Anonymised Data derived from learner performance for platform analytics, curriculum improvement, and aggregated reporting to funders, partners, or research institutions โ€” without identifying you personally

All personal data processing is governed by the Master Terms and Tectona Group's Privacy Notice.

12 AI Integration and Use

12.1 Use of AI within Wadata Learn

Wadata Learn may incorporate artificial intelligence (AI) tools, features, or content within its courses, assessments, and learning materials, including for purposes such as personalised learning, automated feedback, content generation, data analysis, or simulation-based training. Such AI-enabled features are provided to enhance learning outcomes and user experience.

12.2 User Use of AI Tools

Where AI tools are made available as part of a course or programme, Users must use such tools responsibly and in accordance with any instructions or limitations provided. Users must not use AI tools in a manner that misrepresents their knowledge, skills, or performance. Users remain fully responsible for all outputs, submissions, and decisions made using AI tools.

12.3 AI-Assisted Content and Outputs

Content, feedback, or outputs generated through AI tools may be automated and may not always be accurate, complete, or suitable for all contexts. They are provided for learning and informational purposes only and should not be relied upon as professional, technical, or expert advice. Users are responsible for independently verifying any outputs where necessary.

12.6 Limitation of Liability

To the fullest extent permitted by law, we shall not be liable for errors, inaccuracies, or limitations in AI-generated content or outputs; reliance on AI-generated information; or outcomes arising from the use or misuse of AI tools.

13 Learner Support โ€” Wadata Learn

Learner support for Wadata Learn is available via https://learn.wadata.africa/support/ or by email to skilling@wadata.africa on weekdays between 09:00 and 18:00 East Africa Time, excluding public holidays. We will use commercially reasonable efforts to respond to learner queries regarding course access, technical issues, certification, and refund requests within commercially reasonable timeframes. For complex queries or formal complaints, responses may take up to 14 business days.
